The terms governing the sale of products and use of services provided by Rapid Access, a UK manufacturer of fire-rated access solutions.
These Terms and Conditions ("Terms") govern the sale of products and provision of services by Rapid Access ("we", "us", or "the Company"), based in Nuneaton, Warwickshire. By placing an order with us or using our website, you agree to be bound by these Terms.
These Terms apply to all quotations, orders, and contracts for the supply of goods by Rapid Access, unless expressly varied in writing by a director of the Company. No terms or conditions endorsed upon, delivered with, or contained in any purchase order, confirmation of order, or other document submitted by the Buyer shall form part of the contract.
In these Terms, the following definitions apply:
All quotations are given in good faith but do not constitute an offer. A quotation shall remain valid for a period of 30 days from its date of issue, unless otherwise stated in writing.
No Order shall be binding upon the Company until it has been accepted in writing or the Company has commenced manufacture or dispatch of the Goods. The Company reserves the right to decline any Order at its discretion.
Any modifications to an Order after acceptance must be agreed in writing and may be subject to additional charges and revised delivery timescales.
All prices are quoted in pounds sterling and are exclusive of VAT, which will be charged at the prevailing rate. Unless otherwise agreed in writing, prices are based on the Company's current price list at the date of dispatch.
The Company reserves the right to adjust prices to reflect increases in the cost of materials, labour, or other manufacturing costs that occur between the date of quotation and the date of delivery. Any such adjustment will be communicated to the Buyer prior to dispatch.
Where bespoke or made-to-measure products are ordered, prices will be confirmed at the quotation stage and will apply for the duration stated on the quotation.
Unless otherwise agreed in writing, payment terms are 30 days net from the date of invoice. The Company reserves the right to require payment in advance or on a pro-forma basis for new customers or orders above a specified value.
If the Buyer fails to make payment by the due date, the Company reserves the right to:
Title in the Goods shall not pass to the Buyer until the Company has received payment in full for all Goods and any other sums owed by the Buyer to the Company.
Delivery dates are estimated and given in good faith but are not guaranteed. Time of delivery shall not be of the essence. The Company shall not be liable for any loss or damage arising from any delay in delivery.
Delivery is deemed complete when the Goods arrive at the delivery address specified by the Buyer, or when the Buyer or their agent collects the Goods from the Company's premises. Risk in the Goods passes to the Buyer upon delivery.
The Buyer must inspect the Goods upon delivery and report any damage, shortage, or discrepancy promptly upon receipt. Failure to do so may affect the Buyer's right to claim.
The Company reserves the right to deliver Goods in instalments. Each instalment shall constitute a separate Contract.
All descriptions, illustrations, drawings, and specifications contained in the Company's catalogues, brochures, website, and technical literature are intended as a general guide and do not form part of the Contract unless expressly incorporated.
The Company reserves the right to make minor modifications to the Specification of any Goods where such modifications do not materially affect their performance or fire rating. Significant changes will be communicated to the Buyer before manufacture.
Where Goods are manufactured to a bespoke Specification provided by the Buyer, the Buyer is responsible for ensuring the accuracy and completeness of that Specification. The Company accepts no liability for defects arising from inaccurate or incomplete Specifications provided by the Buyer.
Standard (non-bespoke) Goods may be returned within 14 days of delivery, provided they are unused, undamaged, and in their original packaging. A restocking charge of up to 25% may apply. Returns must be authorised in advance by contacting our sales team.
Bespoke or made-to-measure products cannot be returned unless they are defective or do not conform to the agreed Specification.
If Goods are found to be defective or not in conformity with the Contract, the Buyer must notify the Company in writing within 7 days of delivery (or within 7 days of discovery if the defect was not reasonably apparent on inspection). The Company will, at its option, repair, replace, or refund the defective Goods.
The Company shall not be liable for defects caused by fair wear and tear, misuse, improper installation, failure to follow installation instructions, or any alteration or modification made without the Company's written consent.
The Company warrants that the Goods will conform to their Specification at the time of delivery and will be free from material defects in design, materials, and workmanship for a period as specified in the product documentation.

All other warranties, conditions, and representations, whether express or implied by statute, common law, or otherwise, are excluded to the fullest extent permitted by law.
Nothing in these Terms shall exclude or limit the Company's liability for death or personal injury caused by its negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.
Subject to the above, the Company's total aggregate liability under or in connection with the Contract, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall not exceed the price paid by the Buyer for the Goods giving rise to the claim.
The Company shall not be liable for any indirect, consequential, or special loss or damage, including but not limited to loss of profits, loss of business, loss of goodwill, or loss of anticipated savings, howsoever arising.
All intellectual property rights in the Goods, including designs, drawings, specifications, technical data, and any bespoke tooling or moulds, remain the exclusive property of the Company unless expressly agreed otherwise in writing.
The Buyer shall not reproduce, modify, reverse-engineer, or create derivative works based upon the Company's products, designs, or documentation without prior written consent.
The Company shall not be liable for any failure or delay in performing its obligations under the Contract where such failure or delay results from circumstances beyond its reasonable control, including but not limited to:
In the event of a Force Majeure event, the Company will notify the Buyer as soon as reasonably practicable and use reasonable endeavours to mitigate the effects of the event.

These Terms and any Contract between the Company and the Buyer shall be governed by and construed in accordance with the laws of England and Wales. Both parties submit to the exclusive jurisdiction of the courts of England and Wales.
If any provision of these Terms is held to be invalid, illegal, or unenforceable by any court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
The Company reserves the right to amend these Terms at any time. Updated Terms will be published on our website with a revised "Last updated" date. Amendments will not apply retrospectively to Orders already accepted by the Company.
It is the Buyer's responsibility to review these Terms periodically. Continued placement of Orders after amendments have been published constitutes acceptance of the revised Terms.
